Plurilock sets Nov. 18 vote on Quantum eMotion acquisition plan
Plurilock shareholders will vote Nov. 18 on Quantum eMotion’s proposed acquisition, a stock-and-cash deal still subject to court and other approvals.
Plurilock Security and Quantum eMotion have moved their proposed combination to the shareholder-vote stage, with Plurilock investors set to decide on Nov. 18 whether to approve the acquisition. The transaction is not yet complete: according to the companies’ Oct. 21 announcement, closing is expected in late November only if shareholders, the Supreme Court of British Columbia, regulators, stock exchanges and other customary parties sign off.
What was announced
Plurilock said it has filed and mailed meeting materials for a special shareholder meeting to be held in person in Vancouver on Nov. 18, 2026 at 10:00 a.m. Pacific time. Shareholders of record at the close of business on Oct. 1 will be eligible to vote.
Under the proposed plan of arrangement, Quantum eMotion would acquire all issued and outstanding Plurilock common shares, either directly or indirectly through a wholly owned subsidiary. The consideration is set at C$0.084 in cash plus 0.0763 of a Quantum eMotion common share for each Plurilock share, implying total consideration of C$0.28 per share, according to the announcement.
Because part of the payment is in stock, the final realized value for investors will depend in part on Quantum eMotion’s share price at closing rather than on a fully fixed purchase price.
The deal terms
Plurilock’s board has recommended that shareholders support the transaction. According to the company, directors eligible to vote approved the arrangement unanimously, while some directors abstained as required under applicable law.
The companies said the consideration represents an implied premium of about 100% to Plurilock’s 20-trading-day volume-weighted average price on the TSX Venture Exchange as of Sept. 25, 2026, the last trading day before the transaction was publicly announced.
The board also pointed to continued upside participation for Plurilock investors, who would receive Quantum eMotion shares and therefore retain exposure to the combined company’s future performance. Another factor cited was liquidity: Quantum eMotion shares trade on both the TSX Venture Exchange and NYSE American, and the company said those shares trade more actively than Plurilock stock.
Support agreements have already been signed by directors, officers and certain other shareholders representing about 13.1% of Plurilock’s outstanding shares as of Sept. 28, according to the news report.
Approval hurdles still ahead
The arrangement requires approval by at least two-thirds of votes cast at the Nov. 18 meeting, whether in person or by proxy. It also needs a separate simple majority excluding shares held by three senior Plurilock executives and directors: Ian L. Paterson, Veera Singh and Ali Hakimzadeh.
That additional vote reflects minority-protection rules for certain related-party transactions. Beyond shareholder approval, the plan also requires court approval from the Supreme Court of British Columbia, as well as regulatory, exchange and customary closing approvals.
Why it matters
The strategic rationale is commercial rather than technical validation. Quantum eMotion develops security technologies including cryptography and entropy-based systems for randomness generation, while Plurilock brings cybersecurity operations, customer relationships and procurement channels, including routes into government buyers, according to the companies.
If the deal closes, the companies expect Plurilock’s sales and service infrastructure to help commercialize Quantum eMotion’s technology through pilot projects and integrated security offerings. They also say the combined business would be better positioned to serve government, defense, critical infrastructure and regulated sectors.
Those expected synergies remain prospective. As of the Oct. 21 filing, this is still a proposed acquisition awaiting shareholder and court approval, not a completed merger.
What to watch
The immediate milestone is the Nov. 18 vote in Vancouver. If shareholders approve and the remaining legal and regulatory conditions are satisfied, the companies expect to complete the arrangement in late November.
